Membership Agreement

Member access and use of Revolutionary Coworking services are subject to the terms and conditions defined in this Member Agreement (“the Agreement”) and the Revolutionary Coworking Honor Code (“the Code”). The Agreement represents a business contract between Revolutionary Coworking and its Members.

The Agreement and the Code constitute the entire agreement between the parties pertaining to the subject matter contained therein, and supersede all prior and contemporaneous agreements, representations, and understandings of the parties pertaining to the subject matter.

Members hereby represent and warrant that they are over Eighteen (18) years of age and that they have all requisite legal power and authority to enter into the Agreement and the Code and abide the terms and conditions of the Agreement and no further authorization or approval is necessary. Members further represent and warrant that their participation or use of the Services shall not conflict with or result in any breach of any license, contract, agreement, or other instrument or obligation to which the Member is a party.

Members acknowledge that their access and use of Revolutionary Coworking Services are subject to the Agreement and the Code.

  1. Services and Membership Packages

As used in the Agreement and the Code, the term “Services” shall indicate Revolutionary Coworking’s offering of access to its workspace, office equipment, Internet access, conference room facility, events, activities, and other services described in detail in the Services summary of the Agreement.

As used in the Agreement and the Code, the term “Membership Package” shall indicate the types of Services included with each type of Membership Package, including, but not limited to, General Membership, Dedicated Desk Membership, Private Office Membership, Community Membership, and Day Passes.

Revolutionary Coworking shall provide Members with the Services specified in the Membership Package purchased by the Member. Member use of the Services shall be subject to the terms and conditions of the Agreement and the Code at all times.

Members agree and understand that the use of the Services may be for specific, and limited, periods of time as defined in the Agreement.

  1. Payment of Membership Dues

Member payment to Revolutionary Coworking shall be made by legal tender, including cash, check, bank transfer or credit cards. Payments will only be accepted in US currency.

At sign-up and payment, Members will have the option to store a credit card for automatic renewal payment purposes as a convenience to Members to ensure no disruption in Member access to the Services. Members of Revolutionary Coworking may disable the use of auto-renewal payment options at any time for any reason. Terms and conditions of the optional auto-renewal function are applied to individual accounts and can be altered at any time. Revolutionary Coworking will not store any credit card information. Any credit card information will be stored by secure third party payment processing service providers with which Revolutionary Coworking contracts to handle receipt of Member payments.

Time based services such as access to Revolutionary Coworking premises and workspace shall be considered to start at the receipt of payment or the time period a Member has purchased, whichever is later.

Invalid or returned checks shall incur a Twenty-Five Dollar ($25) surcharge, immediate suspension of access to the Services to which payment was applied, and a recharge of any additional fees charged by any bank or other check processing service to Revolutionary Coworking due to the invalid or returned check. Revolutionary Coworking additionally reserves the right pursue any and all further remedies accorded under the laws of North Carolina.

All purchase of Membership Packages and Services are of limited quantity and on a first come, first serve basis. Revolutionary Coworking reserves the right to stop or suspend the sale of any of the Membership Packages or Services at any time and for any reason, at the sole discretion of Revolutionary Coworking.

Member use of the Services require an active Membership Package. Revolutionary Coworking, at its sole discretion, may offer discounted or waived fees for the Membership Packages or Services for promotional, special usage, or other purposes. Such discounts and waivers are at Revolutionary Coworking’s sole discretion and the fact that Revolutionary Coworking has offered such discounts or waivers to Members does not mean that Members are entitled to continue to receive such discounts and waivers for future transactions.

Members agree that the terms and conditions of the Agreement and the Code apply even if the Member’s use of Services did not require a fee.

  1. Summary of Services

The following are terms and conditions of each of the individual services offered by Revolutionary Coworking to Members:

a. Workspace: Workspace refers to access to the premises of Revolutionary Coworking, located at 100 Hay Street, 6th Floor Suite, Fayetteville North Carolina, 28301, or any other place utilized by Revolutionary Coworking for use as a coworking space. Member access to the premises defined by the terms of the Membership Package purchased by the Member. Revolutionary Coworking shall utilize its best efforts at all times to ensure that the workspace is available during all periods of standard use, however, Revolutionary Coworking cannot guarantee that workspace will be available during periods of unusually high activity.

b. Common Desks: Common desks refer to the tables that seat multiple individuals and are not specified as Dedicated Desks. Dedicated Desks that have not been assigned may, at the sole discretion of Revolutionary Coworking, be utilized as common desk.

c. Dedicated Desks: Dedicated Desks refer to a specific set of desks for the sole use of an individual Member, even when that Member is not present at Revolutionary Coworking premises or workspace. When a Member signs up for Dedicated Desk Membership Package, that Member shall select their desk location from a set of Dedicated Desks and such desk shall be indicated through signage to be that Member’s desk. Members have the right to use the Dedicated Desk solely. Members may request to change their desk location at any time to another open Dedicated Desk. Changing desk location is at the sole discretion of Revolutionary Coworking and is not guaranteed. Revolutionary Coworking may at its sole discretion allow the use of Dedicated Desks not otherwise assigned for use as common desks by other Members.

d. Private Meeting Rooms: Private meeting rooms refer to the dedicated rooms that may be used by Members to perform quiet work, meet with their employees or fellow Members, or receive clientele. Private meeting rooms must be reserved by the Member wishing to utilize them and reservations operate on a first come, first serve basis. Revolutionary Coworking may at its sole discretion allow the use of private meeting rooms for use as private offices, Dedicated Desk locations, or for any other purpose.

e. Conference Room: Conference room refers to the use of the conference room facilities in the 3rd floor suite and its infrastructure by Members for meetings and for receiving clientele. The conference room must be reserved by the Member wishing to utilize it and reservations operate on a first come, first serve basis. The Member rate for use of the conference room is Twelve Dollars ($12) per hour.

f. High Speed Internet Access: High Speed Internet Access refers to the internet and other network resources while on Revolutionary Coworking premises or in the workspace. Revolutionary Coworking shall endeavor to keep internet speeds at maximum, however, it cannot guarantee a base speed for Members as use and demand during periods of unusually high activity slow internet speeds. Further terms and conditions for use of high speed internet access are contained in the Code.

g. Lockers: Lockers are secure lockers for the personal use of Members. Use of lockers is on a first come, first serve basis. Members are not permitted to use lockers outside of the period of time they are on Revolutionary Coworking’s premises. Lockers that have unclaimed contents left over Twenty-Four (24) hours shall have their contents removed and held by Revolutionary Coworking for a period of Thirty (30) days. After 30 days, the contents of the locker shall be deemed to be abandoned and Revolutionary Coworking reserves the right to dispose of such locker contents in any way it sees fit. Lockers may be rented at a rate of Fifteen Dollars ($15) per month.

h. Coffee Bar: Coffee bar refers to the coffee bar area at the entrance of the workspace. Coffee and tea are available for all Members.

i. Lounge area: Lounge area refers to a section of the workspace with couches and tables for use by all Members.

j. Copy machine: Copy machine refers to print, scan, copy, and fax services offered by Revolutionary Coworking through its office equipment for typical office usage. All Members have access to the copy machine.

k. Events: Events are lectures, classes, conferences, and other events that Revolutionary Coworking may offer from time to time. Some events may require an additional fee. Access to events may be limited in quantity and are offered on a first come, first serve basis. Some events may only be open to Members Twenty-One (21) years of age or older. Some Membership Packages may include a discounted or waived fee to such events. Such discounts and waivers may only be applied to an individual Member’s purchase alone and cannot be used to purchase multiple tickets for other guest attendees. Events may or may not be located at Revolutionary Coworking premises or workspace; all terms and conditions the Agreement and the Code shall remain in effect even for those events not located at Revolutionary Coworking. Revolutionary Coworking reserves the right to deny entry at sole discretion for safety or security reasons.

l. Mail Services: Mail service refers to using Revolutionary Coworking’s address at 100 Hay Street, 6th Floor Suite, Fayetteville, North Carolina 28301 for USPS for other parcel delivery services. Revolutionary Coworking shall secure and store Member mail and shall either hand any mail to the Member personally once they are on Revolutionary Coworking premises and during normal operating hours or deposit the mail into the Member’s secure and personal mailbox, if applicable. By using mail services, Members agree that they shall not, and have not, represented to any governmental entity of any city, state, or of the United States, or any state or federal court, that Revolutionary Coworking’s address is their place of residence. Members shall not designate Revolutionary Coworking as their agent for service of process, or use Revolutionary Coworking’s address in connection with any designation for an agent for service of process.

  1. Membership Packages

The following list contains the Membership Packages offered by Revolutionary Coworking and the terms, conditions, and rates of the Services to which they provide access during the term of the Membership Package.

Membership Packages access start on the date of first receipt of payment and end on the term specified in each Member’s individual Agreement unless cancelled or terminated under the terms of this Agreement or the Code.

a. General Membership: General Members are entitled to access to Revolutionary Coworking workspace and premises during hours of operations, the use of lounge and common desk areas, coffee bar, mail service, private meeting room access with reservation, as well as conference access at the Member rate of Twelve Dollars ($12) per hour. General Memberships are one month in duration and are renewable on the first day of each subsequent month. Cancellations of General Membership can be issued at any time, with no fee issued if notice is given prior to the first of the following month.

b. Dedicated Desk Membership: Dedicated Desk Members are entitled to access to Revolutionary Coworking workspace and premises during hours of operations, including the exclusive use of their Dedicated Desk,the use of lounge and common desk areas, coffee bar, mail service, lockers, private meeting room access with reservation, as well as conference access at the Member rate of Twelve Dollars ($12) per hour. Dedicated Desk Memberships are one month in duration and are renewable on the first day of each subsequent month. Cancellations of Dedicated Desk Memberships can be issued at any time, with no fee issued if notice is given prior to the first of the following month.

c. Private Office Membership: Private Office Members are entitled to Twenty-Four (24) hour access to Revolutionary Coworking workspace and premises, including the exclusive use of their Private Office,the use of lounge and common desk areas, coffee bar, mail service, private meeting room access with reservation, as well as free accessof conference room, subject to availability and normal use. Private Office Memberships are one year in duration and are renewable on the first day of the subsequent year. Private Office Memberships can be reserved with a first month membership deposit which will be applied to the month in which the membership begins, and a second deposit equal to last month membership will be due the day keys are provided. Cancellations of Private Office Memberships can be issued with Sixty (60) days notice to Revolutionary Coworking.

d. Community Membership: Community Membership is held open to local businesses, organizations, and individuals who support the mission of Revolutionary Coworking but do not otherwise require the regular use of the premises or workspace. Community Membership includes one day per month of workspace and premises access during hours of operation, the use of lounge and common desk areas, coffee bar, mail service, private meeting room access with reservation, as well as conference access at the Member rate of Twelve Dollars ($12) per hour. This coworking day can be used for a guest of the Community Membership holder. In addition, Community Members receive invitations to all Member events and activities, including education and networking events, that are held open only to other Members.

e. Day Pass: Day Pass Members are entitled to access to Revolutionary Coworking workspace and premises during normal business hours (8:30 am to 5:30 pm), the use of lounge and common desk areas, coffee bar, mail service, and private meeting room access with reservation. Day Passes are one day in duration and cannot be cancelled after purchase.

  1. Requirement of Insurance

Revolutionary Coworking carries an extensive general aggregate insurance policy for the protection of the workspace, premises, and Services.

Members affirm that they carry their own aggregate insurance.

  1. Relationship of the Parties Limited

Nothing in the Agreement or the Code shall be construed as creating any of the following relationships:

a. Landlord/tenant; b. Employer/employee; c. Principal/agent; d. Owner/independent contractor; e. Entity/stockholder; f. Partners or partnerships; g. Joint venturers

  1. Liability and Use of Services

As a condition of Member use of the Services, Members agree to hold Revolutionary Coworking harmless from any and all losses and damages resulting form or relating to:

a. Their ability to access or use the Services;

b. Loss of information relating to their use of the Services.

  1. Salvatorius and Severability of Terms and Conditions

If any term, provision, covenant, or condition of the Agreement or the Code is held by a court of competent jurisdiction to be invalid, void, or otherwise unenforceable, the rest of the Agreement or the Code shall remain in full force and effect and shall in no way be affected, invalidated, or otherwise impaired.

  1. Privacy Policy and Required Disclosures

Revolutionary Coworking does not and shall not sell information about Member participation in the Services to any third parties. Revolutionary Coworking shall not publish Member name or information in any public manner including its own directory without Member’s explicit permission to do so. Permission to publish Member information shall be asked during registration for the Services and Member preference shall be preserved by Revolutionary Coworking. Members wishing to change their preference may notify Revolutionary Coworking at any time and Revolutionary Coworking shall modify such preference and add or remove Member information within Forty-Eight (48) hours.

Revolutionary Coworking reserves the right to selectively post or remove information or materials from the member directory or other web site presence it maintains.

Revolutionary Coworking reserves the right to disclose information about Member use of the Services to satisfy any lawful request of governmental agencies.

  1. Indemnification

Members release, and hereby agree to indemnify, defend, and save harmless Revolutionary Coworking, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgements, fines, and penalities based upon or arising out of Member’s negligent actions, errors and omissions, willful misconduct, or fraud in connection with the participation in or use of the Services.

  1. Attorney’s Fees

Should any party retain counsel for the purpose of enforcing any provision of this Agreement or claiming any breach of any of its provisions, including but not limited to, the institution of any action or proceedings to enforce any provision, for a declaration of such party’s rights or obligations under the Agreement or for any other judicial remedy, the prevailing party shall be entitled to be reimbursed by the losing party for all costs and expenses incurred thereby, including but not limited to reasonable attorney’s fees for the services rendered to such prevailing party. All parties to the Agreement, upon the terms and subject to the conditions set forth in the Agreement that are made applicable to all parties, to pay or reimburse the other parties for attorneys’ fees and expenses incurred by reason of any suit, action, or proceeding involving the Agreement.

  1. Termination and Cancellation

Notwithstanding any terms or provisions of the Agreement to the contrary, Revolutionary Coworking reserves the right to terminate any Service at any time. Revolutionary Coworking further reserves the right to terminate Member participation in and use of any Services, immediately and without notice, if the Member fails to comply with the Agreement and the Code.

Members understand and agree that upon termination:

a. They shall lose all access to the premises, workspace, and Services;

b. All mechanisms that provide access to the premises, workspace, and Services shall be disabled;

c. They shall remove any and all personal property from any Revolutionary Coworking premises within Forty-Eight (48) hours.

Members may cancel their use of the Services at any time within the requirements of their individual Membership Package. The condition of cancellation are further indicated throughout the Agreement and in their individual Membership Package. Members shall not be entitled to a refund on a Membership Package that has been used either in whole or a portion thereof.

  1. Choice of Governing Law

The Agreement shall be interpreted under the laws of the State of North Carolina and the United States. Jurisdiction shall be the Superior Court of North Carolina. Venue shall be the County of Cumberland, North Carolina.

  1. No Transferability of Terms

The rights and duties under the Agreement are nontransferable and nonassignable without the prior express and written consent of Revolutionary Coworking. Revolutionary Coworking reserves the right, in its sole discretion, to permit or deny the transfer or assignment of the Agreement and its terms and conditions.

  1. Modification of Agreement

Revolutionary Coworking may, in its sole discretion, and upon written notice, including email notification, change the Agreement and the Code.

The Agreement shall be in effect until either party gives formal written notice of cancellation or termination.
